Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the CTP Marketing LLC retailer portal at ctpmarketing.com. By creating an account or placing an order through this portal, you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the portal.

About CTP Marketing

CTP Marketing LLC ("CTP Marketing," "we," "our," or "us") is a wholesale distribution and marketing company based in Lore City, Ohio. We act as an intermediary between retailers and brand manufacturers. When you place an order through our portal, CTP Marketing forwards that order directly to the applicable manufacturer, who fulfills and invoices the order.

CTP Marketing is not the seller of record. All transactions, billing, and fulfillment are handled directly between you (the retailer) and the manufacturer.

Retailer Accounts

Access to the ordering portal is by invitation only and is limited to approved wholesale retailers. To maintain an active account you must:

• Provide accurate and complete business information
• Keep your login credentials confidential and not share access with unauthorized parties
• Use the portal solely for legitimate wholesale purchasing purposes
• Notify us promptly if you believe your account has been compromised

We reserve the right to suspend or terminate any account at our discretion, with or without notice, for violation of these Terms or for any other business reason.

Orders and Fulfillment

Orders placed through the CTP Marketing portal are transmitted to the relevant brand manufacturer for fulfillment. By submitting an order you acknowledge and agree that:

• Order confirmation is subject to manufacturer availability and acceptance
• Pricing displayed in the portal reflects current dealer pricing provided by each manufacturer and is subject to change
• CTP Marketing does not guarantee specific lead times or delivery dates — fulfillment timelines are determined by each manufacturer
• Shipping costs, if applicable, are determined by the manufacturer

Billing and Payment

CTP Marketing does not collect payment for orders. All invoicing and payment is handled directly between you and the manufacturer. Questions about invoices, payment terms, or billing discrepancies should be directed to the applicable manufacturer.

Returns and Defective Product

CTP Marketing does not accept returns. All sales are final from CTP Marketing's perspective as an ordering intermediary.

If you receive defective, damaged, or incorrect merchandise, you must contact the manufacturer directly. Each brand maintains its own warranty and defective product policies. CTP Marketing can provide manufacturer contact information upon request but is not responsible for resolving product quality or fulfillment disputes.

Wholesale Pricing and Confidentiality

Dealer pricing displayed in the portal is confidential and provided for your business use only. You agree not to share, publish, or distribute wholesale pricing information with any third party. Violation of this confidentiality obligation may result in immediate account termination and could expose you to liability from the applicable manufacturer.

Acceptable Use

You agree not to:

• Use the portal for any unlawful purpose
• Attempt to gain unauthorized access to any part of the portal or its underlying systems
• Resell or transfer your account access to any other party
• Scrape, copy, or reproduce catalog data, pricing, or product information without written permission
• Interfere with the operation or security of the portal

Limitation of Liability

CTP Marketing acts solely as a marketing and distribution intermediary. To the fullest extent permitted by law, CTP Marketing LLC shall not be liable for any damages arising from:

• Manufacturer fulfillment delays, errors, or failures
• Product defects or quality issues
• Billing or payment disputes between you and a manufacturer
• Interruptions or errors in the portal

In no event shall CTP Marketing's total liability to you exceed the value of the specific order in dispute.

Intellectual Property

All content on the ctpmarketing.com portal — including product descriptions, images, and catalog data — is the property of CTP Marketing LLC or the respective brand manufacturers and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our branding, trademarks, or content outside of normal portal use.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Guernsey County, Ohio.

Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top of this page. Continued use of the portal after changes are posted constitutes your acceptance of the updated Terms.
